Welcome to SupplyTie (the "Site," "we," "us," or "our"), operated at www.supplytie.com. These Terms of Service ("Terms") govern your access to and use of the Site, including any purchases, quote requests, or account registrations made through the Site. By accessing or using the Site, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
- Acceptance of Terms
These Terms, together with our Privacy Policy and Refund Policy, form the entire agreement between you and SupplyTie regarding your use of the Site. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Eligibility and Site Use
SupplyTie primarily serves business and commercial customers purchasing industrial supplies, packaging materials, and related maintenance, repair, and operations ("MRO") products for business use. By using the Site, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent. You agree to use the Site only for lawful purposes and in accordance with these Terms, and not to misuse the Site, interfere with its operation, or attempt to access it using automated means without our permission.
3. Product Information and Pricing
We attempt to display accurate product descriptions, specifications, images, and pricing. However, industrial and packaging products are numerous and specifications may change; we do not warrant that product descriptions, images, pricing, or other content on the Site is accurate, complete, current, or error-free. In the event of a pricing or listing error (including typographical errors, pricing errors from suppliers, or system errors), we reserve the right to cancel or refuse any order arising from such error, whether or not the order has been confirmed, and whether or not payment has been processed. Prices are subject to change without notice. Prices displayed exclude applicable taxes, duties, and shipping charges unless stated otherwise.
4. Quotes and Request for Quote (RFQ) Items
Certain items on the Site are offered on a "Request a Quote" basis and are not available for direct purchase through standard checkout. Quotes provided in response to an RFQ are estimates only, valid for the period stated in the quote (or, if unstated, 30 days), and are not binding offers until confirmed in writing by SupplyTie and accepted by the customer. Quoted pricing, availability, and lead times may change based on supplier costs, order volume, and product availability. Orders for quoted items are subject to separate confirmation and, where applicable, a separate invoice or order acknowledgment.
5. Order Acceptance and Cancellation
Your placement of an order is an offer to purchase, which SupplyTie may accept or decline at its discretion. We reserve the right to refuse, limit, or cancel any order for any reason, including suspected fraud, pricing or listing errors, unavailability of product, issues with payment, or violations of these Terms. If we cancel an order after payment has been collected, we will issue a refund for the cancelled portion. For bulk, custom, or made-to-order items, orders may be non-cancellable once production or procurement has begun; applicable cancellation terms will be noted at the time of order or quote confirmation.
6. Payment Terms
Payment for standard online orders is due at the time of purchase via the payment methods available at checkout. Approved business accounts may be eligible for invoiced or net payment terms as separately agreed in writing; such accounts remain subject to these Terms and any additional credit or account terms provided at account setup. You represent that any payment or billing information you provide is accurate and that you are authorized to use the payment method provided. Sales, use, and other applicable taxes will be added to orders unless a valid, current tax-exemption certificate has been submitted and approved for your account prior to order placement; tax-exempt status applies prospectively and does not apply retroactively to prior orders.
7. Business (B2B) Accounts and Tax-Exempt Status
Business accounts, including tax-exempt purchasing accounts, may be established subject to our review and approval of the information and documentation provided (such as resale or exemption certificates, business registration, or trade references). We reserve the right to request additional documentation, to decline or revoke business account status, and to remove tax-exempt status if supporting documentation is incomplete, inaccurate, expired, or if we reasonably believe it is being misused. You are responsible for promptly notifying us of any changes affecting your tax-exempt status or business account information.
8. Bulk Orders
Bulk order pricing, minimum order quantities, and lead times are provided for planning purposes and are subject to confirmation at the time of order. Availability of bulk pricing does not guarantee inventory availability. We reserve the right to require deposits, partial payments, or full prepayment for bulk or custom orders.
9. Shipping, Delivery, and Risk of Loss
Shipping costs, methods, and estimated delivery times are provided at checkout or in your order confirmation and are estimates only; we are not responsible for carrier delays. Unless otherwise stated in writing, title to products and risk of loss transfer to you upon our delivery of the products to the shipping carrier. Please inspect shipments promptly upon receipt and report any shortages, damage, or discrepancies as instructed in our shipping information.
10. Returns and Refunds
Returns, exchanges, and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Certain items, including special-order, custom, quoted, or bulk items, may not be eligible for return, as noted in the Refund Policy or at the time of order.
11. Intellectual Property
All content on the Site, including text, graphics, logos, product images, and software, is owned by or licensed to SupplyTie and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written consent, except as necessary to place an order or use the Site for its intended purpose.
12. Disclaimer of Warranties
The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in a manufacturer's warranty accompanying a product or as required by applicable law. We do not warrant that the Site will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the maximum extent permitted by applicable law, SupplyTie and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of the Site or any products purchased through it, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total liability for any claim arising from these Terms or your use of the Site will not exceed the amount you paid for the product(s) giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
14. Indemnification
You agree to indemnify and hold SupplyTie harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state or federal courts located in Indiana, and you consent to personal jurisdiction in those courts.
16. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
